PLEASE READ THIS AGREEMENT CAREFULLY. IF YOU DO NOT AGREE WITH ITS TERMS, DO NOT ENTER INTO IT AND DO NOT USE THE COMPANY’S SERVICES.

This Public Offer Agreement (the “Offer” or “Agreement”) is an official offer by WE53CY LIMITED (trading as WE53), a company incorporated under the laws of the Republic of Cyprus, registration number HE 416108, VAT number CY10416108J, registered address: Irakleous 1, SKY TOWER, 6th floor, office 604, Germasogeia, 4046, Limassol, Cyprus (the “Company”, “we”, “us”). The Offer is addressed to potential Users.

This Agreement is always available in the Mobile application and on the Website. We recommend that you download and keep a copy.

  5. Power Bank – a portable battery for charging mobile devices.
  6. Mobile application – the “WE53” application for iOS (App Store) and Android (Google Play), its web version at app.we53.io and the WE53 Telegram bot, used to register, find Stations, rent Power Banks, manage settings and see rental information.
  7. “WE53” platform – the hardware and software system consisting of the Mobile application, the Stations, the Power Banks and related software.
  8. Parties – the Company and the User.
  9. Personal Account – the private section of the Mobile application with the User’s details and rental history.
  10. Website – https://we53.io/
  11. Tariff – the price for using a Power Bank per time interval, shown in the Mobile application and/or on the Station screen before the rental starts.

1. Subject

  1. At the User’s request, the Company gives the User access to the platform and a Power Bank for temporary use for a fee (rental) on the terms of the Agreement.
  2. By accepting the Offer as set out in section 2, the User fully agrees with its terms and enters into the Agreement.
  3. The description of the rental process, the Tariffs, discounts and technical requirements for the User’s device are shown in the Mobile application and form an integral part of the Agreement. The User confirms having read them before entering into the Agreement.
  4. The Company may engage third parties to perform the Agreement without the User’s consent and remains responsible to the User for their actions.
  5. A User who has not read the terms of the Agreement in good time bears the related risks.
  6. The Company grants the User a limited, revocable, non-exclusive and non-transferable right to use the Mobile application to receive the services in the Republic of Cyprus.

2. Acceptance and conclusion of the Agreement

  1. The User accepts the Offer by doing all of the following:
    • filling out the registration form in the Telegram bot or in the “WE53” Mobile application, entering the phone number to which a verification call will be made;
    • confirming that the number belongs to them by entering the code received in the call to that number;
    • accepting the Agreement and the Privacy Policy;
    • pressing the “Sign in” button.
  2. Acceptance means completing all the actions listed in clause 2.1.
  3. The User warrants that the details provided are complete and accurate: their own email address, a phone number registered in their name and a bank card issued in their name.
  4. The Company is not responsible for the User’s use of another person’s personal or payment details (bank cards, Apple Pay / Google Pay accounts) and is not obliged to check who they belong to.
  5. In a dispute about whose details were used, the Company relies on the good faith of the User who provided them as their own.
  6. Renting through a Terminal does not require registration. The User accepts the Offer by choosing payment by card on the Station screen and holding a card or smartphone to the Terminal. The Tariff, the hold amount and the buyout amount are shown on the Station screen before payment.

3. Getting, using and returning a Power Bank

3.1 Finding a Station

  1. The location of Stations, the opening hours of the venues where they stand, and the availability of Power Banks and free slots are shown in the Mobile application.
  2. For this information to display correctly, the User needs a stable internet connection and location access on their device.

3.2 Getting a Power Bank

  1. To get a Power Bank, the User follows the steps shown in the Personal Account or on the Station screen:
    • enters the Station number or scans the QR code on its screen;
    • presses “Rent” and enters bank card details or chooses another payment method; at a Station with a Terminal, the User may instead choose “Pay with card” and hold a card to the Terminal;
    • waits for the Station to respond;
    • takes the Power Bank from the slot that opens.
  2. The Company is not responsible for the accuracy of the details entered by the User (Station number, card details) or for the User passing card details to third parties. If, because of a mistake in the Station number, a Power Bank is released at a different Station, the User is responsible for that Power Bank under section 8.
  3. Within 10 (ten) minutes of getting the Power Bank, the User checks that:
    • the charge indicator is on (a green light on the wide side or a white stripe on the narrow side);
    • the casing and the connector are intact;
    • the USB Type-C, Micro USB and Lightning cables are in place and intact;
    • there is no external damage that could not occur with proper use (clause 3.4.2);
    • there are no inscriptions, drawings or graffiti over the mandatory markings and WE53 branding on the casing;
    • the Power Bank is complete and works.
  4. If the User finds any defect listed in clause 3.2.3, they immediately send photos of it to Customer Support through the Mobile application or the support chat (WhatsApp, Website) and return the Power Bank to the Station; they may then take another one. If the User does not report a defect within 10 minutes of getting the Power Bank, the Power Bank is considered to be in working order and the rental time is charged. In that case the User may not claim that the defect existed before their rental, and the measures in section 8 may apply from the moment the defect is found by the Company or the next User.
  5. The rental period starts when the User gets the Power Bank and ends when it is returned to a Station or the order is closed by Customer Support, as described in clause 3.5.

3.3 Using a Power Bank

  1. The User uses the Power Bank only for its intended purpose, does not modify it and does not hand it over to third parties.
  2. The User chooses the right connector for their device.
  3. If the indicator goes out or turns red, the Power Bank needs charging.
  4. When connected, a device uses the Power Bank’s energy first.
  5. Once the device is fully charged, the Power Bank should be disconnected promptly.

3.4 Safety

  1. The Power Bank contains a lithium polymer battery.
  2. It is prohibited to:
    • remove the casing or take the Power Bank apart;
    • crush or puncture it;
    • use it in water or in contact with liquids, or immerse it in water;
    • throw it into fire;
    • leave it at temperatures above 60 °C (sauna, infrared sauna, a car in the sun);
    • bite, chew or swallow it;
    • connect more than two devices at the same time.
  3. The Company informs the User, and the User understands, that improper handling of the Power Bank is dangerous to the life and health of people and animals and to the environment. The User has read these safety rules and is responsible for their actions.
  4. After use, the User returns the Power Bank in working order to any Company Station that is shown in the Mobile application as available for returns and has free slots.

3.5 Returning a Power Bank

  1. The User returns the Power Bank received under their order; its number must match the one received. A Station with a free slot is needed for the return.
  2. At the Station, the User prepares the Power Bank: tucks the cables into their grooves and checks that the casing is intact.
  3. In the Mobile application, on the rental screen (end time of the current Tariff step, order number, terms of the next step), the User presses “Return”, scans the Station’s QR code (the number is in the centre of the Station), inserts the Power Bank into a slot and waits for the return confirmation. If no confirmation appears, the User contacts Customer Support (the number is in the Mobile application), gives the Station number and follows the instructions of the Company’s representative.
    Without the Mobile application, including when renting through a Terminal, the User inserts the Power Bank into a free slot of any Station. The Station recognises the Power Bank by its number and closes the rental.
  4. The rental ends and the Power Bank is considered returned when the Station has accepted the Power Bank and shows “Rental complete” on its screen (in the Mobile application: “Thank you! The power bank has been returned”). Processing a return takes from a few seconds to 3 minutes; this time is part of the paid rental period.
  5. If the Station does not recognise the Power Bank and no confirmation appears for more than 3 minutes, the User reports this to Customer Support. Customer Support sets the end time of the rental based on the actual circumstances.
  6. If the Power Bank cannot be returned because it is damaged or lost, the User is liable under the Agreement.
  7. The User reports damage or loss to Customer Support. Until then, the order remains active and is charged under section 4; the Company may also charge the card with amounts under section 8.
  8. To buy a Power Bank for personal use, the User contacts Customer Support.
  9. If a different Power Bank (with a different number) is returned, the order stays active until the Power Bank received is returned.

4. Price and payment

  1. The price of the Agreement is the fee for using the Power Bank under the Station’s Tariff. The price includes VAT.
  2. The exact price per minute, half hour, hour, day or other interval is shown in the Mobile application and/or at the Station. The total for one rental does not exceed the buyout amount (clause 8.2).
  3. By accepting the Offer, the User agrees that the rental fee, amounts under section 8 and other payments under the Agreement are charged to their card without further authorisation.
  4. To verify the card and secure payment, the Company places a temporary hold on an amount on the card. A hold is not a charge. When paying in the Mobile application or its web version (Stripe), the hold is €1; in some cases a €15 deposit is held instead, and the User sees a notice about it before the rental starts. When paying at a Terminal (Nayax), the hold is the amount shown on the Station screen before payment (€10 or €15, depending on the Station). After the rental, the hold is released and the actual cost is charged. If the rental cost in the Mobile application reaches the deposit, the deposit is charged and the rest is charged separately to the same card. At a Terminal, no more than the held amount is charged. How long a released hold remains visible on a statement depends on the User’s bank. If the Station offers a free trial period and the Power Bank is returned undamaged before it ends, nothing is charged. If the Power Bank was returned in time but the Station took longer than 1–3 minutes to recognise it and money was charged, the Company refunds it to the same card. If the funds for the hold are not available, the Company may decline to release a Power Bank. Payments under the Agreement are charged to the card saved in the Mobile application or held to the Terminal without further confirmation.
  5. Until the Power Bank is returned, the fee accrues under the Tariff and may be charged in several payments. The total for one rental does not exceed the buyout amount (clause 8.2).
  6. Payment is accepted by bank cards of payment systems (Visa, Mastercard and others) and through Apple Pay / Google Pay in the Mobile application, and contactless by card or smartphone at Stations with a Terminal.
  7. If, at the start of a rental, the card is invalid or has insufficient funds, the Company may decline to release a Power Bank, or release it and charge the debt later.
  8. The use of a Power Bank is paid in advance.
  9. The counter in the Mobile application shows the time and amount of the next charge.
  10. After a charge, the payment receipt is available in the Mobile application or is sent to the User’s email, including an email entered on the Station screen when renting through a Terminal.
  11. If a charge fails (insufficient funds, incorrect details, expired card, etc.), the Company informs the User in the Personal Account and by email and may remind the User of the debt by calling the phone number given at registration.
  12. Until the Power Bank is returned, the fee accrues as set out in clause 8.2.
  13. The Company may charge the debt once the obstacle is removed, and at any time before the Power Bank is returned.
  14. If the User does not remove the obstacle to payment within 24 hours of being notified, the Company may stop releasing new Power Banks to that phone number and card until the debt is paid.
  15. If the Power Bank is returned before the end of the paid time, the unused time is not refunded.
  16. Payments are processed by the payment providers Stripe (Mobile application) and Nayax (Terminals). The Company may also use other providers.
  17. Right of withdrawal. The User asks for the service to start immediately after acceptance and acknowledges that, once the service has been fully provided, they lose the right to withdraw from the Agreement within 14 days. This does not limit the User’s right to a refund of amounts charged by mistake, including for a rental not closed for technical reasons (clause 3.5.5): the Company refunds such amounts to the same card after reviewing the request.

5. Term of the Agreement

  1. The Agreement is concluded for an indefinite term.
  2. The period of continuous use of one Power Bank is determined by the moment it is returned or the order is closed through Customer Support.
  3. Losing a Power Bank is a breach of the Agreement; the Company may stop releasing new Power Banks to that phone number and card and apply the measures in section 8.

6. Personal data

  1. The Company processes Users’ personal data in accordance with Regulation (EU) 2016/679 (GDPR).
  2. How the data is processed is described in the Privacy Policy, which is always available in the Mobile application and on the Website under “Legal”.
  3. Questions about personal data and requests to exercise your rights: service@we53.io.

7. Other rights and obligations

  1. The User may enter an email address in the Mobile application or on the Station screen (to receive a receipt). The Company uses the email for receipts and rental notifications, and for WE53 news and offers as described in the Privacy Policy. The User can unsubscribe at any time using the link in any email.
  2. If the User loses access to the Mobile application or suspects that someone else has gained access, the User asks Customer Support by phone or email to block the Personal Account. The User bears the risks of not doing so.
  3. The User reports the loss of or damage to a Power Bank to the Company immediately and no later than one calendar day. Otherwise, the Company may claim the value of the Power Bank regardless of the cause of the loss or damage.
  4. If the User breaches the Agreement, the Company may stop releasing new Power Banks to the User.
  5. The Company may stop providing services to, and block future use by, a User who has threatened or insulted the Company’s staff.

8. Liability

  1. If a Power Bank is lost, the User pays its value, equal to the buyout amount (clause 8.2), taking into account the rental fees already paid. If a Power Bank is damaged, including changes to its appearance (stickers, inscriptions), the User pays the actual cost of repair or replacement, up to the buyout amount. The Company may charge these amounts to the User’s card.
  2. Buyout. If the Power Bank is not returned, the fee accrues under the Tariff until the total for the rental reaches the buyout amount: €40 when paying in the Mobile application or its web version, and €15 when paying at a Terminal (or the held amount, if less than €15 was held at the Terminal). When this happens depends on the Tariff: on the main Tariffs, on the 5th–6th day when paying in the Mobile application and on the 2nd day at a Terminal. After that, charging stops, the order is closed and the Power Bank becomes the User’s property. The buyout amount is shown in the Mobile application and on the Station screen before the rental starts.
  3. The Company is not liable for damage to the property or health of the User or third parties if the User used a faulty Power Bank without reporting the defect or breached the safety rules. This does not limit the Company’s liability for death or personal injury caused by its fault, for intent or gross negligence, or any liability that cannot be limited by law.
  4. By accepting the Offer and taking a Power Bank, the User warrants that they lawfully hold the phone number and card used and bears the risks of using another person’s card or number, including compensating the losses of their owners and of the Company.
  5. By accepting the Offer and taking a Power Bank, the User authorises the Company to charge their card with the amounts set out in this section 8 if the User breaches the Agreement.

9. Changes to the Agreement

  1. The Company may change the Agreement. The new version is published in the Mobile application and on the Website under “Legal” with its effective date. A rental started before the new version takes effect is completed on the previous terms.
  2. Taking a Power Bank after the new version takes effect means agreement with it.

10. Complaints

  1. If you are not satisfied with our service, please first write to service@we53.io or to Customer Support. We give a first reply within 2 (two) days of receipt.
  2. You may also contact the Cyprus Consumer Protection Service or an accredited consumer alternative dispute resolution body.

11. Dispute resolution

  1. The Parties seek to resolve disputes through negotiation. Either Party may start negotiations by notifying the other in writing. Claims are considered within 15 (fifteen) days of receipt. This does not limit the User’s right to go to court.

12. Governing law and jurisdiction

  1. The Agreement is governed by the laws of the Republic of Cyprus, and disputes are heard by the courts of the Republic of Cyprus. This does not deprive a User who is a consumer of the protection of the mandatory rules of the country of their habitual residence or of the right to bring proceedings in the courts of their place of residence in the EU.
  2. Where the User acts for the purposes of their trade, business or profession, the provisions that apply only to consumers do not apply, including the right of withdrawal, the protection of the mandatory rules of the country of residence and the right to bring proceedings there.

13. Language

  1. The Agreement is made in English.

The power bank has been returned»).

    • enters the Station number or scans the QR code on its screen;
    • presses “Rent” and enters bank card details or chooses another payment method; at a Station with a Terminal, the User may instead choose “Pay with card” and hold a card to the Terminal;
    • waits for the Station to respond;
    • the charge indicator is on (a green light on the wide side or a white stripe on the narrow side);
    • the casing and the connector are intact;
    • the USB Type-C, Micro USB and Lightning cables are in place and intact;
    • there is no external damage that could not occur with proper use (clause 3.4.2);
    • there are no inscriptions, drawings or graffiti over the mandatory markings and WE53 branding on the casing;

    • remove the casing or take the Power Bank apart;
    • crush or puncture it;
    • use it in water or in contact with liquids, or immerse it in water;
    • throw it into fire;
    • leave it at temperatures above 60 °C (sauna, infrared sauna, a car in the sun);
    • bite, chew or swallow it;
    • connect more than two devices at the same time.

When paying in the Mobile application or its web version (Stripe), the hold is €1; in some cases a deposit is held instead – €15 or the amount set for the Station – and the User sees a notice about it before the rental starts. When paying at a Terminal (Nayax), the hold is the amount shown on the Station screen before payment (€10, €15 or €25, depending on the Station). After the rental, the hold is released and the actual cost is charged. If the rental cost in the Mobile application reaches the deposit, the deposit is charged and the rest is charged separately to the same card. At a Terminal, no more than the held amount and no more than €15 is charged.

When this happens depends on the Tariff: on the main Tariff, on the 2nd day, both in the Mobile application and at a Terminal.

  2. You may also contact the General Secretariat of Commerce and Consumer Protection of the Ministry of Development (helpline 1520, kataggelies.mindev.gov.gr), the Consumer Ombudsman (Συνήγορος του Καταναλωτή, synigoroskatanaloti.gr) or another consumer alternative dispute resolution body accredited in Greece.

  1. The Agreement is governed by the laws of the Hellenic Republic, and disputes are heard by the courts of Athens.

13. Language

  1. The Agreement is made in Greek and English. If the texts differ, the Greek text prevails.

3. Levantamento, utilização e devolução do Power Bank

3.1 Encontrar uma Estação

    • introduz o número da Estação ou lê o código QR no respetivo ecrã;
    • carrega em «Rent» e introduz os dados do cartão bancário ou escolhe outro meio de pagamento; numa Estação com Terminal, pode em alternativa escolher «Pay with card» e aproximar o cartão do Terminal;
    • aguarda a resposta da Estação;
    • retira o Power Bank do compartimento que se abre.
    • o indicador de carga está aceso (luz verde na face larga ou faixa branca na face estreita);
    • a caixa e o conector estão intactos;
    • os cabos USB Type-C, Micro USB e Lightning estão no lugar e intactos;
    • não existem danos exteriores que não possam resultar de uma utilização normal (cláusula 3.4.2);
    • não existem inscrições, desenhos ou grafitos sobre as marcações obrigatórias e a marca WE53 na caixa;
    • o Power Bank está completo e funciona.

3.3 Utilização do Power Bank

  4. Quando ligado, o dispositivo utiliza primeiro a energia do Power Bank.

  2. É proibido:
    • retirar a caixa ou desmontar o Power Bank;
    • esmagá-lo ou perfurá-lo;
    • utilizá-lo dentro de água ou em contacto com líquidos, ou mergulhá-lo em água;
    • atirá-lo para o fogo;
    • deixá-lo a temperaturas superiores a 60 °C (sauna, sauna de infravermelhos, automóvel ao sol);
    • mordê-lo, mastigá-lo ou engoli-lo;
    • ligar mais de dois dispositivos em simultâneo.

3.5 Devolução do Power Bank

The power bank has been returned»).

4. Preço e pagamento

  1. O preço do Contrato é o valor da utilização do Power Bank segundo o Tarifário da Estação. O preço inclui IVA.
  8. A utilização do Power Bank é paga antecipadamente.

5. Duração do Contrato

  1. O Contrato é celebrado por tempo indeterminado.

  8. Parties – the Company and the User.
  9. Personal Account – the private section of the Mobile application with the User’s details and rental history.

1. Subject

  6. The Company grants the User a limited, revocable, non-exclusive and non-transferable right to use the Mobile application to receive the services in the Portuguese Republic.
  7. The Company uses the “WE53” platform under licence. The Mobile application, its operation and User support are provided on the Company’s behalf by WE53 Holdings Limited (Cyprus, HE 460917); the Company remains responsible to the User under the Agreement.

2. Acceptance and conclusion of the Agreement

  1. The User accepts the Offer by doing all of the following:
    • filling out the registration form in the Telegram bot or in the “WE53” Mobile application, entering the phone number to which a verification call will be made;
    • confirming that the number belongs to them by entering the code received in the call to that number;
    • accepting the Agreement and the Privacy Policy;

    • enters the Station number or scans the QR code on its screen;
    • presses “Rent” and enters bank card details or chooses another payment method; at a Station with a Terminal, the User may instead choose “Pay with card” and hold a card to the Terminal;
    • waits for the Station to respond;
    • the charge indicator is on (a green light on the wide side or a white stripe on the narrow side);
    • the casing and the connector are intact;
    • the USB Type-C, Micro USB and Lightning cables are in place and intact;
    • there is no external damage that could not occur with proper use (clause 3.4.2);
    • there are no inscriptions, drawings or graffiti over the mandatory markings and WE53 branding on the casing;

    • remove the casing or take the Power Bank apart;
    • crush or puncture it;
    • use it in water or in contact with liquids, or immerse it in water;
    • throw it into fire;
    • leave it at temperatures above 60 °C (sauna, infrared sauna, a car in the sun);
    • bite, chew or swallow it;
    • connect more than two devices at the same time.

When paying in the Mobile application or its web version, the hold is €1; in some cases a €15 deposit is held instead, and the User sees a notice about it before the rental starts. After the rental, the hold is released and the actual cost is charged; if the rental cost reaches the deposit, the deposit is charged and the rest is charged separately to the same card. When paying at a Terminal, the hold is the amount shown on the Station screen before payment (usually €3.50 or €5; €10 or €12 at some Stations). If the Power Bank is returned within the free period of the Tariff, the hold is released in full and nothing is charged; after that, the cost under the Tariff is taken from the held amount and any shortfall is charged to the same card.
  16. Payments are processed by the payment provider Stripe (Mobile application and Terminals).

  2. Buyout. If the Power Bank is not returned, the fee accrues under the Tariff until the total for the rental reaches the buyout amount: €25, both in the Mobile application and at a Terminal. When this happens depends on the Tariff: on the main Tariffs, on the 6th day.

  2. You may also file a complaint in the electronic Complaints Book (Livro de Reclamações Eletrónico) or contact a consumer alternative dispute resolution body: the Centro Nacional de Informação e Arbitragem de Conflitos de Consumo – CNIACC (www.cniacc.pt) or the Centro de Arbitragem de Conflitos de Consumo de Lisboa (www.centroarbitragemlisboa.pt). The list of such bodies is on the Consumer Portal (www.consumidor.gov.pt).

  1. The Agreement is governed by the laws of the Portuguese Republic, and disputes are heard by the courts of Lisbon.

13. Language

  1. The Agreement is made in Portuguese and English. If the texts differ, the Portuguese text prevails.
